CWJ was the UK legal adviser to Synchronica Plc on its recent US $25 million acquisition of Nokia’s operator-branded messaging business.
CWJ advised on the English law aspects of the acquisition (due to its size: a reverse takeover) and the US $15 million private placing, as well as advising the company on its application for readmission to AIM (part of the London Stock Exchange).
The acquisition has enabled Synchronica, based in Tunbridge Wells, to enter the US operator market and to provide maintenance, support and development for the Nokia messaging software which ships with millions of Nokia devices, and the gateway functionality for both the Series 40 and Symbian devices.
Nicky Androsov, a partner in the CWJ Corporate and Commercial team, who (together with the company and its other professional advisers) spent a few days in New York negotiating on the agreements and acquisition of the patents purchased by Synchronica, stated “We were delighted to advise a local company so that it could reach a successful conclusion on this deal, which marks a key milestone for Synchronica.”
