Learning and Talent Management Software

CWJ has assisted NetDimensions with the recent placing of 12,000,000 new shares on the London Stock Exchange. NetDimensions, a global provider of performance, knowledge and learning management systems and a CWJ client for over a decade, intends to use the £7.2 million raised to maximise opportunities in global markets for enterprise talent management solutions. CWJ advised on the placing agreement and a number of related documents as well as preparing verification notes for the presentations to investors.

Window Manufacturer

CWJ advised the sellers in the management buy-out of this aluminium framed window manufacturer, for a consideration of £3.2 million, made up of cash and shares.

Foodservice Maintenance

CWJ advised Jestic Limited in connection with the acquisition of the share capital of this foodservice equipment servicing business. This follows CWJ’s recent involvement in acting for Jestic in its merger with ServEquip Limited.

Customs Consultancy

CWJ acted for the sellers of both E-Customs, an electronic security and fiscal customs filing solutions company, and Pentant Limited, a company offering customs connectivity and import/export inventory control solutions. The buyer, Descartes, bought E-Customs for an up-front payment of £5.8 million with potential future performance based earn out payments.

Precision Engineering

CWJ acted for the four sellers of their shares in engineering firm Electrobase to ERP Newco Limited for a total consideration of £4 million, the investment of which is intended to allow the company to expand into the aerospace sector.

CWJ acted for both the seller Geoff Aldridge and CBD Property Services in this transaction in the sale of Communication by Design Limited to Collider Limited.

Fire Protection

Andrew Wright and Ben Madden acted for Paul Ryan in his sale of Firetherm Intumescent and Insulation Supplies Ltd to RPM International Inc. This fire stopping solutions company primarily sells products within the construction industry, and has had annual net sales of approximately £10 million.
